This Advertising Agreement (“Agreement”) is entered into as of , by and between:

(“APS Partner” or “Partner”)
An Authorized Point of Sale for América Magazine
and
[Advertiser Company Name]
(“Advertiser”)
Collectively referred to as the “Parties”.
1. PURPOSE
The APS Partner agrees to facilitate and sell advertising space in América Magazine on behalf of Publisher to the Advertiser. The Advertiser agrees to purchase advertising services under the terms and conditions of this Agreement.
2. PAYMENT TERMS
The Advertiser agrees to pay for all advertising services on or before the first 5 days of each month, prior to the publication of the corresponding edition of América Magazine.
If payment is not received within the first 5 days of the month, the Advertiser’s advertisement will not appear in that edition.
All payments shall be made directly to the APS Partner, unless otherwise agreed in writing.
3. CANCELLATION AND TERMINATION
Either party may cancel this Agreement with written notice. However, if the Advertiser cancels without a justified reason, the Advertiser shall pay 50% of the remaining balance of the Agreement as a cancellation fee.
4. PUBLISHER APPROVAL
All advertising content is subject to final approval by América Magazine. The APS Partner will coordinate with the Publisher regarding content approval.
5. COMMITMENT TO CAMPAIGN TERMS
The Advertiser acknowledges and agrees that by signing this Agreement, they are fully committed to the advertising campaign under the specific terms, pricing, deliverables, and conditions of the campaign/package selected at the time of signing. This commitment is binding for the duration of the agreed campaign period.
6. GENERAL TERMS
This Agreement constitutes the entire understanding between the Parties regarding advertising in América Magazine through the APS Partner. Any modifications must be made in writing and signed by both Parties. This Agreement shall be governed by the laws of the State of Florida.
By signing below, both parties acknowledge they have read, understood, and agree to all terms of this Advertising Agreement.
Este Acuerdo de Publicidad (“Acuerdo”) se celebra a partir del , entre:

Colectivamente denominados las “Partes”.
1. PROPÓSITO
El Socio APS acepta facilitar y vender espacio publicitario en América Magazine en nombre del Editor al Anunciante. El Anunciante acepta adquirir los servicios publicitarios bajo los términos y condiciones de este Acuerdo.
2. TÉRMINOS DE PAGO
El Anunciante acepta pagar por todos los servicios publicitarios a más tardar los primeros 5 días de cada mes, antes de la publicación de la edición correspondiente de América Magazine.
Si el pago no se recibe dentro de los primeros 5 días del mes, el anuncio del Anunciante no aparecerá en esa edición.
Todos los pagos se realizarán directamente al Socio APS, a menos que se acuerde lo contrario por escrito.
3. CANCELACIÓN Y TERMINACIÓN
Cualquiera de las partes puede cancelar este Acuerdo con notificación por escrito. Sin embargo, si el Anunciante cancela sin una razón justificada, el Anunciante deberá pagar el 50% del saldo restante del Acuerdo como tarifa de cancelación.
4. APROBACIÓN DEL EDITOR
Todo el contenido publicitario está sujeto a la aprobación final de América Magazine. El Socio APS coordinará con el Editor respecto a la aprobación del contenido.
5. COMPROMISO CON LOS TÉRMINOS DE LA CAMPAÑA
El Anunciante reconoce y acepta que al firmar este Acuerdo, se compromete plenamente a la campaña publicitaria bajo los términos específicos, precios, entregables y condiciones del paquete/campaña seleccionado al momento de la firma. Este compromiso es vinculante durante la duración del período de campaña acordado.
6. TÉRMINOS GENERALES
Este Acuerdo constituye el entendimiento completo entre las Partes respecto a la publicidad en América Magazine a través del Socio APS. Cualquier modificación debe realizarse por escrito y firmada por ambas Partes. Este Acuerdo se regirá por las leyes del Estado de Florida.
Al firmar a continuación, ambas partes reconocen haber leído, comprendido y aceptado todos los términos de este Acuerdo de Publicidad.
